Raritan PHC REplacement for Head-Mate

I own a 2003 Catalina 34 MKII sailboat with a Wilcox Crittenden Head-Mate toilet. Now that this head is no longer available, I am considering replacing it with a Raritan PHC toilet. It appears that others have done this and are satisfied with the outcome.

My question- Is the footprint of the PHC the same as that of the Head-Mate it will be replacing or will I have to drill new holes and fill in old ones. Also, is there any problem fitting the PHC into the limited space in the Catalina 34 head?

There was also a writeup in a recent Mainsheet magazine where a PHII fit perfectly in the C34 head.
